User Agreement

Effective Date: August 2, 2025

1. Acceptance of Agreement

This User Agreement ("Agreement") is a legal contract between you ("User", "you", or "your") and txtai.pro ("Company", "we", "us", or "our"), governing your use of the AI-powered web application located at txtai.pro ("Service"), which utilizes models and technologies provided by a third party.

By accessing, registering with, or otherwise using the Service, you agree to abide by this Agreement. If you do not agree to any terms herein, you may not access or use the Service.

2. Updates to Agreement

We may revise this Agreement from time to time. We will notify you of any material changes by posting the updated Agreement on the Service or by other reasonable means. Your continued use of the Service constitutes acceptance of any revisions.

3. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Permitted Use and Restrictions

You agree to use the Service solely in accordance with this Agreement and all the applicable laws.

  • Do not use, or attempt to use, the Service to produce, support, or assist with illegal, harmful, deceptive, violent, hateful, explicit, or unsafe content.
  • Do not use the Service to violate the rights (including intellectual property or privacy rights) of others.
  • Do not attempt to reverse-engineer, decompile, or otherwise misappropriate the underlying technology or models.
  • Do not use the Service for any military, surveillance, or law enforcement purposes where prohibited by policies.
  • Do not submit any personal, confidential, or proprietary information that you are not authorized to share.
  • Comply with all applicable export controls and sanctions laws.

The Service may refuse to respond to, or may block, any input or output that violates these terms or any other applicable usage policies.

5. Account Registration and Security

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

6. Privacy

We may process and store your data as needed to support your account billing, plan management, and general operation of the system. However, we will not store your inputs or outputs generated by your use of the Service.

7. Data Use and Content

By submitting content to the Service, you agree that the Service is not reponsible in any way for third party (AI model provider) actions related to your content. All AI-generated content is provided for informational purposes only and may not be accurate, complete, or reliable. You are solely responsible for verifying the accuracy and appropriateness of any output.

You retain any ownership rights you hold to your inputs, subject to this license. We disclaim all liability for decisions made based on AI outputs.

8. Intellectual Property

The Service, its technology, design, and all related intellectual property are the exclusive property of the Company, its licensors, or a third party provider. Except as expressly permitted, you may not modify, reproduce, or distribute any part of the Service.

9. Termination

We may suspend or terminate your access to the Service at any time for violations of this Agreement or any applicable Usage Policies, or at our sole discretion.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, licensors, officers, agents, and employees from and against any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service, content you submit, or violation of this Agreement.

13. Governing Law; Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the State of Utah, United States for dispute resolution.

14. Miscellaneous

If any provision of this Agreement is found unlawful or unenforceable, that provision will be severed and the remainder shall remain in effect. This Agreement (including any incorporated policies) constitutes the entire agreement between you and the Company regarding the Service.
